Terms of Service

These terms explain the responsibilities that come with using ZOA LLC’s website and project portals, including access to website previews and the feedback process.

Using our services

These Terms of Service apply to zoallc.com and the client and employee portals operated by ZOA LLC. By using these services, you agree to these terms. If you do not agree, do not use the services.

You must be able to enter a binding agreement to use a portal. If you act for a business or another organization, you confirm that you have authority to do so. Access to a portal is limited to people authorized by ZOA LLC.

Separate signed agreements govern paid website design, development, hosting, and other contracted work, including scope, fees, delivery, ownership, and termination. If these terms conflict with such an agreement, that agreement controls for the work it covers. Employment and contractor agreements continue to apply. Individual products may have separate terms.

Accounts and access

Use the Google account approved for your access, provide accurate information, and keep your account secure. Do not share sessions, lend access to others, or attempt to enter another client’s project. Tell us promptly if you believe your access has been compromised.

Google sign-in verifies your identity; it does not automatically entitle you to client or employee access. We may change or revoke permissions when your role or project changes, or when needed to protect the service.

Projects, previews, and feedback

The client area lets authorized users review website work, interact with previews, and submit feedback. Previews may be incomplete, contain defects, change without notice, or become temporarily unavailable. Use test information in previews unless we have agreed that a feature is ready for real data or transactions.

Feedback helps us understand requested changes. A feedback submission or status update does not by itself amend project scope, approve additional charges, or constitute final acceptance of a deliverable. The approval and change process in your project agreement applies.

Preview access is provided for review. It does not create a promise of permanent hosting or change any delivery commitment in a separate agreement.

Your content and our materials

You retain your rights in content you provide. You give ZOA LLC permission to store, copy, display, and adapt that content as needed to perform the agreed work, operate your project area, and respond to your requests. You are responsible for having the rights and permissions needed to provide it.

Keep confidential project material within its authorized audience. Do not upload unlawful content or disclose another person’s confidential information without permission. Project feedback is shared with authorized project users and ZOA staff handling the work.

ZOA LLC and its licensors retain rights in the website, branding, software, and other materials they own. Use of the portal does not transfer those rights. Ownership and licensing of commissioned deliverables are determined by the applicable project agreement and any third-party licenses.

Acceptable use

Use the services lawfully and respect other users. You must not:

  • Bypass access controls, probe systems without authorization, or interfere with service operation.
  • Upload malware, use the service for fraud or harassment, or infringe another person’s rights.
  • Collect personal information from the service without authorization or misrepresent your identity.
  • Use preview hosting for unrelated workloads or activities outside the agreed project.

Privacy and external services

Our Privacy Policy explains how we handle information through these services.

Google sign-in, GitHub repositories, linked products, and services included in a client website are also subject to the relevant provider’s terms. We do not control external websites or guarantee their availability or content. A portfolio link does not grant a license to another product.

Availability and responsibility

We work to keep the services useful and available, but maintenance, outages, and changes may interrupt access. Except for commitments in a separate agreement and rights required by law, the website and previews are provided as available, without guarantees that they will be uninterrupted, error-free, or suitable for a particular purpose.

To the extent permitted by law, ZOA LLC is not responsible for indirect or consequential losses, such as lost profits or business opportunities, arising from use of this website or its previews. Nothing in these terms excludes liability that cannot lawfully be excluded, limits mandatory consumer rights, or overrides a separate agreement’s warranties or liability provisions.

Ending access

You may stop using the services and contact us to close your portal access. We may suspend or end access for a breach of these terms, a security concern, a legal requirement, or the end of the applicable project or relationship. Where practicable, we will explain the reason and how to resolve an issue.

Closing portal access does not cancel payment obligations, change ownership of deliverables, or replace the termination process in a project agreement. Information retention is described in the Privacy Policy.

Changes and contact

We may update these terms as the services change. The date above identifies the latest version. We will give additional notice of material changes when required by law; changes will not retroactively alter a signed project agreement.
